Terms & Conditions

1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the website samudr.ai and all services provided by Samudr Softwares ("Samudr AI," "we," "us," or "our"), including but not limited to AI voice agents, AI inference platforms, customer support automation, marketing engines, workflow automation, and sales AI solutions.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Definitions

• "Client" refers to any individual or entity engaging Samudr AI for services.
• "Services" refers to all AI solutions, consulting, development, and support provided by Samudr AI.
• "Deliverables" refers to all outputs, code, models, reports, and materials produced under a service engagement.
• "Agreement" refers to any Statement of Work (SOW), proposal, or contract executed between the Client and Samudr AI, together with these Terms.

3. Services

Samudr AI provides enterprise-grade AI solutions on a project basis, retainer basis, or subscription basis as agreed in writing. The specific scope, timeline, deliverables, and pricing will be defined in a separate Agreement or Statement of Work (SOW) for each engagement.

We reserve the right to modify or discontinue any service offering at any time, with reasonable notice to active clients.

4. Payment Terms

• All fees are as specified in the applicable Agreement or invoice.
• Payments are due within the timeframe specified on the invoice (typically 7–15 days from invoice date), unless otherwise agreed in writing.
• Payments may be made via bank transfer, UPI, credit/debit card, or other methods available through our authorized payment gateways.
• All prices are exclusive of applicable taxes (GST, etc.) unless explicitly stated otherwise.
• Late payments may incur an interest charge of 1.5% per month on the outstanding amount.
• We reserve the right to suspend services if payments remain overdue for more than 15 days.

5. Intellectual Property

Unless otherwise specified in the Agreement:

• All pre-existing intellectual property of each party remains with that party.
• Custom deliverables created specifically for the Client are assigned to the Client upon full payment.
• Samudr AI retains ownership of its proprietary tools, frameworks, libraries, and general-purpose code used in delivering services.
• Samudr AI may use anonymized and aggregated learnings from engagements for internal improvement purposes.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives the termination of the Agreement for a period of two (2) years. Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from a third party.

7. Client Responsibilities

The Client agrees to:

• Provide timely access to necessary data, systems, and resources required for service delivery.
• Designate a primary point of contact for communication.
• Review and provide feedback on deliverables within agreed timelines.
• Ensure that any data shared complies with applicable data protection laws.
• Not use our services for any unlawful, harmful, or fraudulent purposes.

8. Limitation of Liability

To the maximum extent permitted by law:

• Samudr AI's total liability for any claim arising from the services shall not exceed the total fees paid by the Client for the specific engagement in question.
• Samudr AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• AI-generated outputs are provided on an "as-is" basis. While we strive for accuracy, we do not guarantee that AI outputs will be error-free or suitable for all use cases without human review.

9. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated, all services are provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability or fitness for a particular purpose.

10. Termination

• Either party may terminate an engagement with 30 days' written notice, unless otherwise specified in the Agreement.
• Samudr AI may terminate immediately if the Client breaches these Terms or the Agreement and fails to cure within 15 days of notice.
• Upon termination, the Client shall pay for all services rendered up to the termination date.
• Sections on Confidentiality, Intellectual Property, Limitation of Liability, and Governing Law survive termination.

11. Force Majeure

Neither party shall be liable for failure or delay in performance due to causes beyond reasonable control, including but not limited to natural disasters, wars, pandemics, government actions, power failures, internet outages, or third-party service disruptions.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

13. Amendments

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the updated Terms. For active engagements, material changes will be communicated directly.
